These Terms of Service ("Terms") govern your access to and use of the website located at zoxflynle.pro and any related services, content, features, and functionality provided by Zoxflynle ("Zoxflynle", "we", "us", or "our"). By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, you must not access or use our services.

Zoxflynle is an audiovisual-content-studio operating in Canada. These Terms are intended to be interpreted in accordance with applicable laws in Canada, including, where relevant, the laws of the Province of British Columbia and the federal laws of Canada.

1. Introduction and Acceptance of Terms

By using our website, engaging our services, or entering into any project, estimate, proposal, statement of work, invoice, or other service arrangement with Zoxflynle, you confirm that you have read, understood, and agree to these Terms. If you are using our services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

Additional terms may apply to specific projects, service packages, content licenses, or promotional offers. If there is a conflict between these Terms and a separately signed written agreement, the written agreement will prevail to the extent of the conflict.

2. Scope of Services

Zoxflynle provides audiovisual and related creative services, which may include, without limitation:

Any services not expressly included in a proposal, estimate, invoice, or statement of work are excluded unless approved in writing by Zoxflynle. We may subcontract or engage qualified third parties to perform portions of the services, while remaining responsible for the overall delivery of the agreed services, subject to applicable law and the terms of any specific project agreement.

3. User Obligations and Responsibilities

You agree to:

You are solely responsible for the legality, reliability, and appropriateness of materials you provide to us. You acknowledge that delays caused by incomplete information, late approvals, or failure to provide required materials may affect project timelines and may result in additional fees.

4. Payment Terms and Conditions

Unless otherwise stated in a written agreement or invoice, the following payment terms apply:

Unless expressly stated otherwise, all deposits and retainers are non-refundable to the extent permitted by applicable law, as they secure scheduling, planning, and administrative commitment. You are responsible for all collection costs, reasonable legal fees, and bank charges incurred due to non-payment or returned payments.

5. Cancellation and Refund Policy

Cancellations must be submitted in writing to [email protected]. The applicable cancellation terms depend on the stage of the project and any signed agreement, but generally:

Refunds, if any, are issued only at our discretion or as required by applicable law. Approved refunds will be processed using the original payment method when reasonably possible. Any disputes regarding charges must be raised promptly and in writing.

6. Liability Limitations

To the fullest extent permitted by applicable law, Zoxflynle, its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising out of or related to these Terms or the services.

To the fullest extent permitted by applicable law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the amount paid by you to Zoxflynle for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $500, whichever is greater, except where applicable law prohibits such limitation.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for fraud, fraudulent misrepresentation, gross negligence, or any other liability that cannot lawfully be excluded under applicable Canadian law.

You acknowledge that audiovisual production involves creative judgment, subjective preferences, and technical constraints. We do not guarantee that services will meet subjective expectations unless expressly set out in writing.

7. Intellectual Property Rights

As between you and Zoxflynle, all pre-existing materials, tools, workflows, templates, software configurations, know-how, and methods used by Zoxflynle remain our property or the property of our licensors.

Unless otherwise agreed in writing:

Any transfer of copyright or assignment of rights must be expressly set out in a written agreement signed by Zoxflynle. No implied assignment is granted by these Terms.

8. Data Protection and Privacy

We collect, use, store, and disclose personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.

Personal information may be used for purposes including:

We may share personal information with trusted service providers who assist us with hosting, communications, payment processing, scheduling, analytics, storage, and production-related functions, subject to confidentiality and security obligations where appropriate.

Zoxflynle will not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, war, terrorism, civil unrest, labor disputes, pandemics, governmental action, power outages, internet or telecommunications failures, equipment failure, supply shortages, transportation disruptions, or failures of third-party vendors.

If a force majeure event occurs, our obligations will be suspended for the duration of the event to the extent affected. We will use commercially reasonable efforts to resume performance as soon as practicable. If the event continues for an extended period, either party may terminate the affected services by written notice, subject to payment for work performed and expenses incurred up to the termination date.

11. Applicable Law and Jurisdiction

These Terms, and any dispute, claim, or controversy arising out of or relating to them or the services, shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Vancouver, British Columbia shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services, subject to any mandatory consumer protection laws that may apply and any rights to bring a claim in a court of competent jurisdiction under applicable law.

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions remain in full force and effect, to the fullest extent permitted by law.

The failure of Zoxflynle to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing by an authorized representative of Zoxflynle.

These Terms constitute the entire agreement between you and Zoxflynle regarding the subject matter herein, unless supplemented or superseded by a separate written agreement signed by both parties.
